Compliance & Legal Framework

How Cireta Protects Investors

Cireta protects investor capital through three structural mechanisms: dedicated Special Purpose Vehicle (SPV) legal structures for every project, KYC/AML verification for all participants, and credit risk insurance underwritten by Swiss Re, Munich Re, and Lloyd's of London. Funds are held in independent third-party escrow accounts and deploy only upon achievement of predefined milestones.

What Is an SPV, and How Does Cireta Use Them?

A Special Purpose Vehicle (SPV) is a legally separate entity created to hold and manage a specific asset or project, isolating it from the operating company's balance sheet. Cireta creates a dedicated SPV, incorporated and licensed under RAKICC (Ras Al Khaimah International Corporate Centre), for every tokenized project, ensuring complete legal segregation of assets, liabilities, and governance.

Asset Segregation

If Cireta or any other project encounters financial difficulty, the assets in your project's SPV remain legally separate and protected.

Clear Ownership Rights

Token holders have defined legal rights to the assets held within the SPV, as specified in the offering documentation.

Independent Governance

Each SPV has its own governance structure, audit requirements, and reporting obligations.

Regulatory Alignment

SPV structures are the same mechanism used in traditional institutional finance for asset-backed securities, structured products, and project finance.

KYC/AML Verification Process

All investors on Cireta must complete Know Your Customer (KYC) and Anti-Money Laundering (AML) verification before accessing any investment opportunity.

Identity verification (government-issued ID, proof of address)

Source of funds verification (for investments above specified thresholds)

Sanctions screening against international watch lists

Ongoing monitoring for suspicious activity

Cireta does not permit access from restricted jurisdictions including the United States, UK retail investors, and sanctioned countries. Full jurisdictional restrictions are specified in our Terms of Service.

Escrow-Controlled Fund Management

Capital raised through Cireta's platform flows into independent, third-party escrow accounts, not Cireta's operating accounts. Funds are released only upon achievement of predefined milestones:

Milestone-based release: Capital deploys incrementally as projects reach verified milestones

Third-party verification: Milestones are verified by independent parties before fund release

Investor visibility: Token holders can track milestone progress through their dashboard

Insurance Coverage

Physical assets underlying Cireta's tokens are protected by credit risk insurance underwritten by three of the world's largest reinsurance companies:

Swiss Re: World's second-largest reinsurer. Provides credit risk coverage for commodity-backed token issuances.

Munich Re: World's largest reinsurer. Provides additional credit risk and operational coverage across Cireta's portfolio.

Lloyd's of London: The world's leading specialist insurance market. Provides supplementary coverage for asset protection and delivery guarantees.

Insurance terms, coverage limits, and conditions are specified in each project's offering documentation.
