RISK DISCLOSURE
Tokenized real-world asset ("RWA") projects are high-risk, often illiquid, and speculative. You could lose all funds committed. Past performance is not indicative of future results. Before proceeding, read the relevant whitepaper/offering terms and obtain independent legal, tax, and financial advice. By continuing, you acknowledge and accept the risks provided below.
Important Information Regarding Tokens and Platform
The tokenized assets referenced on this website and related materials (collectively, the "Tokens") are intended to be digital representations of rights and/or interests in underlying real-world assets, including but not limited to commodities (e.g., gold, copper and other minerals), industrial infrastructure, healthcare facilities, mining operations, and other real-world asset projects (collectively, the "Underlying Assets").
The Tokens have not been registered under the U.S. Securities Act of 1933, as amended (the "Securities Act"), or under the securities laws of any other jurisdiction unless expressly stated in the relevant project documentation. The Tokens may not be offered or sold in the United States or to U.S. Persons (as defined in Regulation S under the Securities Act) unless registered or an applicable exemption from registration is available.
In certain jurisdictions, Tokens may be offered only to qualified investors, professional clients, accredited investors, or other eligible investor categories as defined under applicable law. Jurisdiction-specific restrictions apply. Persons accessing this website are responsible for understanding and complying with the laws of their respective jurisdictions.
Nothing on this website constitutes an offer to sell, or a solicitation of an offer to buy, any securities or financial instruments in any jurisdiction where such offer or solicitation would be unlawful. Cireta operates the Platform as a technology provider and does not act as a broker, custodian, financial institution, or investment advisor.
Important Information Regarding Token Structure and Rights
Tokens provide holders with contractual and/or economic rights linked to specific Underlying Assets as defined in the relevant project documentation.
Unless expressly stated otherwise:
- Tokens are digital instruments linked to the Underlying Assets as described in the relevant project documentation. Their legal and regulatory characterization may vary by jurisdiction and may change over time.
- Tokens do not automatically grant direct legal title to the Underlying Asset unless explicitly provided in the governing agreements.
- Rights, including redemption, delivery, revenue participation, or profit-sharing (if applicable), are strictly governed by the applicable Token Terms, SPV agreements, and offering documentation.
- Redemption of physical assets, where permitted, is subject to vesting periods, minimum thresholds, logistical requirements, compliance checks, and applicable fees.
- Each project may have distinct structures, including Special Purpose Vehicles (SPVs), Special Operating Vehicles (SOVs), or other legal entities that hold or manage the Underlying Assets. Investors must review the specific documentation for each Token before participating.
No Investment, Legal, or Tax Advice
The communications on this website are provided for informational purposes only and do not constitute investment, legal, tax, accounting, or financial advice.
Prospective participants are solely responsible for conducting their own due diligence and consulting with independent professional advisors prior to acquiring any Tokens.
Acquiring Tokens involves risk. A holder of Tokens may incur losses, including the possible loss of their entire investment.
Risk Factors
Investments in tokenized real-world assets involve significant risks, including but not limited to:
- Market price volatility of the underlying commodity or asset. The value of Tokens may fluctuate significantly and may not track the value of the underlying asset due to market volatility, pricing methodology, fees, spreads, liquidity constraints, and project-specific terms.
- Operational, mining, production, or development risks. Projects may face delays, cost overruns, technical issues, accidents, supply chain disruption, or contractor/operator failures, which may reduce or eliminate expected returns and impair tokenholder rights.
- Regulatory and legal risks across multiple jurisdictions. Laws, regulatory guidance, and enforcement priorities may change, and Tokens may be restricted, prohibited, or treated differently in certain jurisdictions (including potential classification as a regulated financial instrument), which may limit availability, transferability, or redemption.
- Counterparty and custody risks. Tokenholder outcomes depend on the performance and reliability of third parties (including issuers/SPVs, operators, custodians, service providers, and insurers). Counterparty default, insolvency, misconduct, or custody failures may result in losses, delays, or limited recovery.
- Smart contract and blockchain technology risks. Smart contracts and blockchain infrastructure may contain vulnerabilities, be exploited, or experience outages, congestion, forks, or other failures. Cyber incidents, compromised credentials, or unauthorized access may lead to loss of Tokens, and blockchain transactions may be difficult or impossible to reverse.
- Liquidity risk, including limited or no secondary markets. Tokens may be illiquid and subject to transfer restrictions, and there may be no active market for resale. Exiting a position may be difficult, delayed, or unavailable, and any sale may occur at a discount.
- Past performance of any project or asset is not indicative of future results.
Regulatory and Compliance Matters
Cireta operates through various legal entities and project-specific SPVs. Projects presented on the Platform may be structured through independent issuers or special purpose vehicles and may be subject to applicable laws and regulations. All participants may be required to complete identity verification (KYC/KYB) and comply with AML obligations prior to purchasing Tokens.
Registration of any Cireta-affiliated entity as a corporate entity, technology provider, or platform operator does not imply regulatory approval, endorsement, or supervision of any specific Token offering unless explicitly stated.
Custody, Insurance, and Asset Verification
Where applicable, Underlying Assets may be:
- Held by SPVs or operating entities
- Stored with third-party custodians or vault providers
- Insured under commercial insurance policies
- Verified through geological reports, audits, assaying reports, engineering studies, or third-party inspections
However, insurance coverage may be subject to limitations, exclusions, and policy terms. Investors should review relevant documentation to understand the scope of any coverage.
